TERMS & CONDITIONS — PLEASE CAREFULLY READ THESE TERMS AND CONDITIONS.
These Terms and Conditions govern access to, and the use of applications and/or the website provided by ACCENT INFOTECH LIMITED (trading as AllSale) ("we", "our", "us"). By accessing or using the Website, you agree to be bound by and accept these Terms and Conditions. You acknowledge that we do not own or hold any Goods, nor act as an agent for either the Vendor or the Purchaser. We are not a party to any transaction between the Vendor and Purchaser; all transactions are at your own risk.
1. DEFINITIONS
"Account" means an account allocated to you to allow you to access certain parts of the Website, and/or to purchase certain Goods. "Force Majeure Event" means an event outside the reasonable control of the affected party (including government orders, pandemics, power failures, disasters, and wars). "Goods" means goods available for purchase as listed by the Vendor and provided to you subject to these Terms and Conditions. "Intellectual Property Rights" means all intellectual property rights including copyright, designs, trade marks, trade secrets, know-how, confidential information, patents, and discoveries. "Loss" includes loss of profits, savings, revenue or data, and any other claim, damage, liability, and cost, including legal costs. "Price" means the purchase price payable for the Goods as agreed between the parties. "Purchaser" means the person buying the Goods. "Underlying System" means any network, system, software, data or material that underlies or is connected to the Website. "Vendor" means the seller of the Goods. "We", "us" or "our" means ACCENT INFOTECH LIMITED, a private limited liability company incorporated in New Zealand (Company Number 7625697). "Website" means the website at www.allsale.co.nz. "You", "your" or "yours" means the person accessing the Website, or the person/company on whose behalf you are acting.
2. INTERPRETATION
Unless expressly stated otherwise: a reference to a statute includes that statute as modified or re-enacted from time to time; headings do not affect interpretation; "persons" includes companies, partnerships, trusts, and unincorporated associations; "including" and similar words do not imply any limit.
3. ACCEPTANCE & CHANGES TO TERMS
3.1 Acceptance: By accessing and/or using the Website, you agree to be bound by these Terms and Conditions. If you are acting on behalf of a company, you confirm you are authorised to bind that company to these terms. If you do not agree, you must immediately stop using the Website.
3.2 Changes: We may change these Terms and Conditions at any time by updating them on the Website. Continued use of the Website constitutes acceptance of the updated Terms. We may also change, suspend, discontinue, or restrict access to the Website without notice or liability.
4. YOUR OBLIGATIONS
4.1 Accuracy of Information: You must provide true, current, and complete information (including when setting up an Account) and promptly update it as required.
4.2 Authority and Age: When listing Goods, you confirm you have authority and ownership of the Goods. When purchasing, you confirm you are eighteen (18) years of age or over and able to enter into contracts. We reserve the right to seek compensation from a parent or guardian for any loss caused by a minor making a purchase.
4.3 System Integrity: You must not act in a way, or introduce anything (including malware, viruses, or spyware) that compromises the Website or any Underlying System. You must only access the Website via standard web browsers. Methods like scraping, data mining, or use of a robot/spider are prohibited without written agreement. You must obtain our written permission to establish a link to our Website (email: info@allsale.co.nz).
4.4 Unlawful Use: You must not use the Website for unlawful purposes, misrepresent goods/services, or attempt fraud or payment abuse.
5. PROHIBITED GOODS & SERVICES
The following are strictly prohibited on AllSale: illegal drugs or controlled substances; weapons, firearms, and explosives; counterfeit or stolen goods; adult or illegal services; fraudulent financial schemes or unauthorised gambling services; any activity breaching New Zealand law. We may remove listings, suspend accounts, and report violations to authorities.
6. MARKETPLACE DISCLAIMER
AllSale is a platform only. We do not guarantee the goods or services listed. We are not involved in the transactions between Vendors and Purchasers. All transactions are at the user's own risk.
7. PRICE AND PAYMENT
7.1 Pricing: The Price payable for Goods shall be the price displayed on our Website, as altered in the Vendor's sole discretion. Listings must be in New Zealand Dollars (NZD) and the Vendor must include GST where applicable.
7.2 Payments for Goods: Payment must be made in full as arranged between you and the Vendor. We do not hold funds unless acting explicitly as a payment facilitator. If you fail to pay for Goods you've agreed to purchase, we may issue a warning, suspend, or terminate your account.
7.3 Platform Fees: We may charge listing fees, advertising fees, or subscription fees at our sole discretion.
8. RECURRING BILLING & SUBSCRIPTIONS
If you subscribe to any of our paid services (ads, memberships, promotions):
8.1 Transparency: Transaction amounts will be displayed clearly, including all taxes and fees, in NZD.
8.2 Authorisation & Security: You authorise us to charge your stored payment method automatically based on your billing schedule. Payments are securely handled via PCI-DSS compliant providers (e.g., Stripe/Windcave). We do not store full card details (only the last 4 digits will be visible).
8.3 Unscheduled Transactions: We may retry failed transactions, or process unscheduled transactions if you upgrade your subscription or have outstanding charges.
8.4 Cancellation: Subscriptions auto-renew unless cancelled. Users may cancel anytime via their account or by email, taking effect at the end of the current billing cycle.
9. ADVERTISING
9.1 Advertiser Responsibility: Advertisers must comply with the Fair Trading Act 1986, NZ Advertising Standards, and AllSale policies. Advertisers must ensure material is not misleading and does not infringe on intellectual property rights. We are not responsible for the content of advertisements on our Website.
9.2 Paid Platform Ads: We may agree to promote your service/product on our website. You have 72 hours from publication to request changes in writing; otherwise, the publication is deemed accepted. We may cancel or reject any ad at any time without notice.
9.3 Payment for Ads: Advertising rates will be stated on our invoice, due by the 20th of the month following publication. We may charge default interest on unpaid amounts.
10. CANCELLATION, DELIVERY, AND RETURNS
10.1 Cancellation: We reserve the right to cancel any listing or the provision of Goods at any time before delivery, by written notice, without liability for any Loss.
10.2 Delivery: The Vendor is solely responsible for delivery. The delivery method is selected at checkout. If a courier is used, they act as the Purchaser's agent. We are not liable for delivery delays or failures.
10.3 Returns & Replacements (Goods): We do not manage returns. If an item is faulty or not as described, refunds, replacements, or repairs must be negotiated directly between the Vendor and Purchaser.
10.4 Platform Refunds: Refunds from AllSale for platform services (ads/subscriptions) apply only in cases of duplicate payments, billing errors, or if a service was not delivered. Requests must be made within 7 days.
11. PRIVACY AND DATA
We will collect, use, and securely store your Personal Information in accordance with the New Zealand Privacy Act 2020. By using the Website, you consent to our collection and use of your data as required to operate the platform, process payments, and provide our services.
12. INTELLECTUAL PROPERTY & CONFIDENTIALITY
12.1 IP Ownership: We (and our licensors) own all proprietary and intellectual property rights in the Website (including logos, look and feel, and Underlying Systems).
12.2 Confidentiality: The provisions of these Terms and Conditions are strictly confidential. Neither party may disclose financial or contractual information without written consent from the other party.
13. FORCE MAJEURE
If a Force Majeure Event causes a failure or delay in either Party performing its obligations (other than payment obligations), those obligations will be suspended. If suspended for 90 days or more, either party may terminate this Agreement by written notice.
14. DISCLAIMERS AND LIABILITY
14.1 Platform Use at Own Risk: To the maximum extent permitted by law, you access and use the Website at your own risk. We are not liable for any Loss in connection with the Website being unavailable, errors in information, virus exposure, or third-party links.
14.2 Vendor Actions: We are not liable for the acts, omissions, or guarantees of any Vendor or Purchaser, nor for the accuracy of Vendor listings.
14.3 Limitation of Liability: Except to the extent permitted by law, nothing in these Terms limits your rights under the New Zealand Consumer Guarantees Act 1993. Where our liability cannot be excluded but can be limited, our total liability to you will not exceed the Price of the Goods or services in dispute.
14.4 Indemnity: You indemnify us against all Loss we suffer as a direct or indirect result of your failure to comply with these Terms, including actions taken under your User ID.
15. SUSPENSION AND TERMINATION
Without prejudice to any other rights, if we consider that you have breached these Terms or we otherwise consider it appropriate, we may immediately, and without notice, suspend or terminate your access to the Website. On suspension or termination, you must immediately cease using the Website.
16. DISPUTE RESOLUTION
16.1 Notice of Dispute: Any Party claiming a dispute has arisen must give written notice to the other Party specifying the nature of the dispute.
16.2 Mediation: The Parties must use their best endeavours to resolve the dispute. If unresolved within seven (7) days, they must refer the dispute to mediation under the Resolution Institute Standard Mediation Agreement (NZ version).
16.3 Urgent Relief: A Party seeking urgent interlocutory relief may bypass mediation temporarily, but only for the period required to dispose of the application for such relief.
17. GENERAL
17.1 Communication: We may contact you by email or SMS, which satisfies all legal requirements for written communication.
17.2 Governing Law: These Terms and Conditions are governed by the laws of New Zealand. Both parties submit to the exclusive jurisdiction of the Courts of New Zealand.
17.3 Severability & Waivers: Waivers must be in writing. If any provision is deemed invalid or unenforceable, it will be modified or severed, and the remainder of the Terms will continue to be binding.
17.4 Entire Agreement: These Terms set out everything relating to your use of the Website and supersede any prior agreements or representations.
18. ORDER CANCELLATION, RETURNS & REFUNDS
Order Cancellation: You may cancel an order free of charge any time before it is dispatched by the seller. Go to Account → Orders → Cancel or contact us at info@allsale.co.nz / +64 22 550 0066. Once an order has been dispatched it can no longer be cancelled, but you may request a return as described below.
Returns: If an item arrives damaged, defective, or materially different from its listing, contact us within 14 days of delivery with photos of the item and packaging. Approved returns receive a full refund including original shipping. Change-of-mind returns are accepted on unused items in original packaging within 14 days of delivery; return shipping for change-of-mind returns is at the buyer's cost.
Refund Processing: Approved refunds are issued to the original payment method within 5–10 business days of approval. Refunds are made in the currency you paid in.
Non-returnable Items: Perishable goods, personalised/made-to-order items, and hygiene-sealed products that have been opened are not returnable unless faulty.
Consumer Law: Nothing in this policy limits your rights under the New Zealand Consumer Guarantees Act 1993 or other applicable consumer protection laws in your country.
19. SHIPPING & DELIVERY POLICY
Where We Ship: AllSale currently delivers to New Zealand, Australia, the United States, the United Kingdom, Canada, Fiji, and the European Union.
Dispatch & Delivery Times: Products are shipped directly by our verified seller partners in India. Orders are typically dispatched within 2–4 business days. International delivery usually takes 7–21 business days, depending on the destination and customs processing. Tracking details are provided in your account once the order ships.
Shipping Costs: Shipping charges (if any) are shown at checkout before you pay. Displayed prices for EU customers include VAT where applicable.
Customs & Duties: Most orders are delivered duty-paid. If your country levies additional import charges on your order, these are shown at checkout or are the recipient's responsibility, as indicated on the product page.
Delays & Lost Parcels: If your order has not arrived within 30 days of dispatch, contact info@allsale.co.nz — we will trace the parcel and, where it is confirmed lost, reship or refund in full.
